Anti-Bribary & Corruption

Purpose

The purpose of this policy is to provide guidance to employees and others associated with the Validera Ltd on how to prevent and detect bribery and corruption in all aspects of operations. We are committed to conducting business ethically, with integrity, and in compliance with all applicable laws and regulations relevant to countering bribery and corruption in all the jurisdictions in which it conducts business, including, in the UK, the Bribery Act 2010 (the Act), which applies to conduct both in the UK and abroad.

Scope

This policy applies to all employees, contractors, volunteers, and other associated persons, as well as to all business partners, agents, and intermediaries acting on behalf Validera Ltd.

Policy Statement

Validera Ltd is committed to preventing and detecting bribery and corruption in all aspects of its operations. Any form of bribery, corruption, or facilitation payments, whether direct or indirect, by or on behalf of the organisation, its employees, or its business partners is expressly prohibited. 

Gifts, Hospitality, and Entertainment

We recognise that giving or receiving gifts, hospitality, or entertainment may be a common business practice. However, such practices must be in compliance with all applicable laws and regulations and must not create a conflict of interest or give the appearance of impropriety. Gifts, hospitality, or entertainment must reported, be reasonable and proportionate and must not influence or be seen to influence business decisions. 

Third-Party Due Diligence

Validera Ltd requires all business partners, agents, and intermediaries acting on its behalf to comply with this policy and all applicable laws and regulations. The organisation will conduct due diligence on all third parties to identify any potential risks of bribery and corruption before entering into any business relationships.

Reporting and Investigation

Validera Ltd encourages employees and others associated to report any concerns or suspicions of bribery and corruption. All reports will be taken seriously and handled confidentially and impartially. We will investigate all reports of bribery and corruption promptly and thoroughly. 

Consequences

Any employee or other associated person found to have violated this policy will be subject to disciplinary action, up to and including termination of employment or association with Validera Ltd. We may also report any suspected bribery or corruption to the relevant authorities, and individuals found guilty of bribery or corruption may face civil or criminal penalties.
